AUTO INDUSTRY DIVISION – NEW RECEPTION HOURS AND SEPT. 23RD COMPUTER CONVERSION

This article continues a regular series that will review various state-level compliance topics in alphabetical order to provide reminders on compliance requirements and relevant resources that are available.  The topics are being pulled from the CADA Colorado Dealer Compliance Guide

Topic #4: Consignment


Consignment is a sales arrangement where an owner of a vehicle places that vehicle for sale by a third party.  The third party responsible for the sale of the vehicle could be an individual or a dealer.  The vehicle is delivered to and entrusted to the individual or dealer by the owner.  Under a typical consignment, the dealer or individual selling the vehicle is not obligated to make any payment to the owner unless and until the vehicle is sold.

The recommended practice is that any consignment should be set forth in a written agreement between the owner and the party selling the vehicle.  Written proof of a consigned vehicle in a dealer’s inventory will help satisfy the Auto Industry Division concerning a dealer’s right to offer a vehicle for sale.  The practice of consigning vehicles is mentioned only briefly in the dealer-specific provisions of Colorado laws and regulations.

However, while allowed, consignment can be a risky practice.
  In the general commercial code provisions, there is a concept that protects a consumer who is a “buyer in the ordinary course”.  [C.R.S. §4-2-403(3)]  By entrusting a vehicle to another dealer, that other party appears to have full rights in the vehicle to a consumer, who may be unaware of the consignment arrangement.  The general commercial code typically protects an innocent consumer over a merchant in that business in the event something goes wrong. 

Example:  Dealer#1 consigns a vehicle to Dealer#2, and Lady Innocent purchases the vehicle, paying Dealer#2.  However, Dealer#2 fails to pay Dealer #1 and ends up going out of business.  At a minimum, it will be a matter for litigation to settle which set of security interests have priority across varying areas of law (Dealer #1, Dealer#2’s Bankruptcy Trustee, Dealer #2’s Floor plan lender, or the Consumer, etc.).  Holding title as the named owner may not be sufficient, and Dealer#1 may be required to deliver title to the ‘innocent’ consumer who purchased the vehicle from Dealer#2.

EMV MANDATE FOR CREDIT CARD PROCESSING: FACT VS FICTION

There has been an abundance of mis-information and dis-information regarding the pending EMV mandate for merchants by the Card Associations (Visa, Mastercard, Amex, Discover and JCB) and the ATM networks (NYCE, Accel, Shazam, Star etc). 

Driven by the ever increasing instances of fraud - 8
BILLION and growing, the United States is the unrivaled
leader in credit card usage and the last to begin the
conversion to a safer transaction environment.

The focus of this article is to assist our valued merchants with making the best EMV decisions for their businesses and to assist with smooth and seamless implementation and transition.

Let's begin with the basics -

What is EMV?


EMV is the acronym for Europay/Mastercard/Visa (The three companies which originally created the standard - this standard is now managed by EMVCo, a consortium with control divided equally among Visa/Mastercard, JCB, American Express, China Union Pay and Discover), and specifically refers to credit cards that use a computer chip to store cardholder data as opposed to the status quo magnetic stripe.  Unlike traditional "swiped" transactions, the Chip card creates a unique and individual encryption for EVERY transaction, thus making data theft significantly more difficult.

The card associations have mandated that all US merchants have the capability to facilitate "chip" transactions by October, 2015.   Although it is notable that Gas Stations and ATM's have been given extensions into 2017 and 2018.
