a
AUTO INDUSTRY NEWS AT A GLANCE

Listed here are several articles pertaining to the auto industry in general that appeared recently in newspapers and other media outlets across the nation.

…more news articles are included at the end of this issue.

This article continues a series that will review various state-level compliance topics in alphabetical order to provide reminders on compliance requirements and relevant resources that are available.  The topics are being pulled from the CADA Colorado Dealer Compliance Guide

Topic #7: Consignment

Consignment is a sales arrangement where an owner of a vehicle places that vehicle for sale by a third party.  The third party responsible for the sale of the vehicle could be an individual or a dealer.  The vehicle is delivered to and entrusted to the individual or dealer by the owner.  Under a typical consignment, the dealer or individual selling the vehicle is not obligated to make any payment to the owner unless and until the vehicle is sold.

The recommended practice is that any consignment should be set forth in a written agreement between the owner and the party selling the vehicle.  Written proof of a consigned vehicle in a dealer’s inventory will help satisfy the Auto Industry Division concerning a dealer’s right to offer a vehicle for sale.

However, while allowed, consignment can be a risky practice.  In the general commercial code provisions, there is a concept that protects a consumer who is a “buyer in the ordinary course”.  [C.R.S. §4-2-403(3)]  By entrusting a vehicle to another dealer, that other party appears to have full rights in the vehicle to a consumer, who may be unaware of the consignment arrangement.  The general commercial code typically protects an innocent consumer over a merchant in that business in the event something goes wrong.

Example:  Dealer#1 consigns a vehicle to Dealer#2, and Lady Innocent purchases the vehicle, paying Dealer#2.  However, Dealer#2 fails to pay Dealer #1 and ends up going out of business.  At a minimum, it will be a matter for litigation to settle which set of security interests have priority across varying areas of law (Dealer #1, Dealer#2’s Bankruptcy Trustee, Dealer #2’s Floor plan lender, or the Consumer, etc.).  Holding title as the named owner may not be sufficient, and Dealer#1 may be required to deliver title to the ‘innocent’ consumer who purchased the vehicle from Dealer#2.

FEDERATED INSURANCE: AUTO DEALER CLAIM OF THE MONTH

Federated Insurance’s “Claim of the Month” – Could it happen to you?

A sales rep drove a high-end demo home. That evening, she took friends out for dinner and drinks. On the way home, she caused an accident that resulted in two serious injuries, and the death of a single mother of three.
CLAIM AMOUNT: $3.5 million

What policies are in place to help prevent this from happening at your dealership? Do you know who’s driving your vehicles? Federated Insurance recommends several best practices to help protect your business and manage risks; for example,

  • Know your drivers. Order MVRs on all employees who may drive company vehicles.
  • Limit the number of demos.
  • Transfer the risk: get the title out of the dealership’s name.

These are just a few loss control recommendations you can use to help protect your dealership. To learn more, contact your local Federated Insurance representative and request a copy of our Auto Dealer “Keys to Success” risk management education materials. Federated Insurance is recommended by 18 state and national auto dealer associations just like yours for customized insurance programs and value-added risk management services, such as Federated’s Shield Network®, the Risk Management Resource Center, and the Federated Employment Practices NetworkSM. Visit www.federatedinsurance.com to discover resources you can use to create or ramp up your own risk management program, or to contact your local representative.
